/01 Contracting entity
For clients in the United States, services are provided by [US legal entity], [US address]. All other terms are in the Master Services Terms.
/02 Business use only
Services are sold only to businesses for business purposes. You confirm you are not a consumer.
/03 Prices and tax
Prices are in US dollars and exclude sales, use and similar taxes, which you pay where applicable. If you claim an exemption, you must give us a valid certificate before invoicing.
/04 Payment
Invoices are due within 7 days. Late amounts accrue interest at 1.5% per month or the highest lawful rate, if lower. You pay all reasonable costs of collection, including attorneys' fees.
/05 Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, ARE DISCLAIMED. THE LIMITATIONS OF LIABILITY IN CLAUSE 15 OF THE MASTER SERVICES TERMS ARE AN ESSENTIAL BASIS OF THE BARGAIN.
/06 Governing law and arbitration
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules; the UN Convention on Contracts for the International Sale of Goods does not apply. After the 30-day senior discussion, any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, seated in New York, New York, in English, under the Federal Arbitration Act. The arbitrator may award the prevailing party its reasonable attorneys' fees and costs. Judgment on the award may be entered in any court with jurisdiction.
/07 Jury and class waivers
EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
/08 Exceptions
Either party may seek temporary injunctive relief, and Mr.Ooi may sue to collect undisputed fees, in the state or federal courts in New York County, which both parties accept.
/09 Export and sanctions
You confirm you are not on any US government restricted-party list and will not use the services in breach of US export control or sanctions laws.
