/01 Contracting entity

For clients in Australia, services are provided by [Australian entity and ABN], [Australian address]. All other terms are in the Master Services Terms.

/02 Prices and GST

Prices are in Australian dollars. Business prices are quoted excluding GST, with GST added on the tax invoice if the contracting entity is GST-registered. Prices shown to consumers include GST.

/03 Australian Consumer Law

The Consumer Guarantees Statement applies. Nothing in the Master Services Terms excludes, restricts or modifies any right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

/04 Unfair contract terms

If you are a small business (fewer than 100 employees or turnover under A$10 million) and these Terms are a standard form contract, the unfair contract terms provisions of the Australian Consumer Law apply. In that case, the clauses on early termination fees, unilateral changes, our right to terminate, limits of liability and your indemnity apply only to the extent reasonably necessary to protect Mr.Ooi's legitimate interests, and any of them found unfair is severed without affecting the rest.

/05 Payment

Invoices are due within 7 days. Late amounts carry interest at 1.5% per month, which the parties agree reflects the real cost of late payment, plus reasonable recovery costs.

/06 Governing law and arbitration

These Terms are governed by the laws of New South Wales. After the 30-day senior discussion, any dispute will be resolved by arbitration administered by the Australian Centre for International Commercial Arbitration under its rules, before one arbitrator, seated in Sydney, in English. Nothing prevents a party from using a tribunal or court where the law gives that right, or Mr.Ooi from recovering unpaid fees in the Local or District Court of New South Wales.
